Important Notice: These Terms and Conditions are provided in English solely for convenience and informational purposes. They constitute a translation of the original Spanish version of Golito's Terms and Conditions. In the event of any inconsistency, discrepancy, conflict, interpretation issue, legal proceeding, or dispute, the Spanish version shall prevail and be considered the legally binding version.

These Terms and Conditions establish the general rules governing access to and use of the golito.co website, the Golito web application, the Golito mobile application, and any related products, features, and services (collectively, the "Services"). This agreement constitutes a legally binding contract between you and Golito.

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and fully accepted these Terms and Conditions. If you do not agree with any provision herein, you must refrain from accessing or using the Services.

Golito is a technology platform intended to facilitate the organization of events, groups, activities, and interactions among users. Unless expressly stated otherwise, Golito does not act as an event organizer, travel agency, financial institution, trustee, insurer, or financial intermediary.

Service Operator

The Services are operated by Golito and its creator, Cristiam Mercado, with principal domicile in Bogotá D.C., Colombia.

Eligibility and Legal Capacity

To use the Services, you must be at least eighteen (18) years of age and possess full legal capacity to enter into binding agreements under applicable law.

By using the Services, you represent and warrant that you meet these requirements.

Golito may suspend or terminate accounts when there are reasonable grounds to believe that a user does not meet the eligibility requirements established herein.

Account Registration

Certain features of the Services require the creation of a user account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

Information provided during registration must be truthful, accurate, current, and complete.

Golito may suspend, restrict, or terminate accounts containing false, misleading, or fraudulent information.

Use of the Platform

Golito grants users a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services in accordance with these Terms.

The license granted does not transfer ownership of the software, platform, content, or any component associated with the Services.

The Services may only be used for lawful purposes and in compliance with applicable laws and regulations.

User-Created Events, Groups, and Activities

Events, groups, activities, and other initiatives published on the platform are created and managed exclusively by users.

Golito acts solely as a technology platform that facilitates interaction among users.

Golito does not guarantee the actual occurrence of events, attendance by participants, the accuracy of user-provided information, or the fulfillment of commitments made between users.

Any responsibility arising from agreements, commitments, payments, contributions, or activities organized among users rests solely with the parties involved.

Payments and Contributions Between Users

Golito may provide features intended to facilitate the recording or tracking of payments, contributions, fees, or other amounts related to activities organized by users.

Unless expressly stated otherwise, Golito does not act as a financial institution, payment processor, trustee, or custodian of funds.

Users are solely responsible for verifying, making, and managing any financial obligations arising from their activities on the platform.

Golito shall not be liable for payment defaults, financial disputes, monetary losses, or claims arising from agreements entered into between users.

User-Generated Content

Users retain ownership of any content they publish through the platform.

By publishing content, users grant Golito a worldwide, royalty-free, non-exclusive license necessary to store, reproduce, process, adapt, and display such content solely for the purpose of operating and improving the Services.

Users represent and warrant that they possess all rights necessary to publish such content and that it does not infringe upon the rights of third parties.

Golito may remove content deemed unlawful, fraudulent, offensive, misleading, or otherwise inconsistent with these Terms.

Prohibited Uses

Users may not use the Services to:

Intellectual Property

All intellectual property rights related to Golito, including software, source code, trademarks, logos, designs, interfaces, documentation, content, and any other components associated with the Services, belong to Golito or its licensors.

Nothing in these Terms shall be interpreted as transferring intellectual property rights to users.

The reproduction, modification, distribution, reverse engineering, or commercial exploitation of the Services without prior written authorization is strictly prohibited.

Suspension and Termination

Golito may suspend, restrict, or terminate user access whenever it reasonably determines that these Terms have been violated, fraudulent activity has occurred, the platform is being abused, or any situation exists that may negatively affect other users or Golito itself.

Termination of an account shall not extinguish any legal or contractual obligations previously assumed by the user.

Service Availability

Golito shall make reasonable efforts to maintain the availability and functionality of the Services. However, Golito does not guarantee that the Services will be available uninterrupted, error-free, or completely secure at all times.

The Services may be temporarily suspended due to maintenance, updates, technical improvements, security incidents, or causes beyond Golito's reasonable control.

Golito shall not be liable for losses, interruptions, or inconveniences arising from temporary unavailability of the Services.

Accuracy of Information

Information available through the Services may contain typographical errors, inaccuracies, or omissions.

Golito reserves the right to correct, modify, update, or remove information at any time and without prior notice whenever deemed necessary.

Users are responsible for independently verifying any information they consider relevant before making decisions based upon it.

Third-Party Services and Resources

The Services may contain links to or integrations with third-party websites, applications, platforms, or services.

The existence of such links or integrations does not imply endorsement, sponsorship, approval, partnership, or affiliation by Golito.

Golito does not control and assumes no responsibility for the availability, content, products, services, policies, or practices of third parties.

Any interaction with third-party services shall be solely the responsibility of the user.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Golito disclaims all express or implied warranties relating to the Services, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, continuity, security, and non-infringement.

Golito does not warrant that the Services will meet the specific expectations of any user or that results obtained through the use of the Services will be accurate or reliable.

Limitation of Liability

To the fullest extent permitted by applicable law, Golito, its owners, officers, employees, contractors, suppliers, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the use of, or inability to use, the Services.

This limitation includes, without limitation, economic losses, loss of profits, loss of data, loss of business opportunities, reputational harm, business interruption, or damages arising from agreements entered into between users.

Golito shall not be responsible for the acts, omissions, statements, conduct, or failures of users of the platform.

Where applicable law does not permit the exclusion of certain liabilities, such liabilities shall be limited to the maximum extent permitted by law.

Indemnification

Users agree to defend, indemnify, and hold harmless Golito, its owners, employees, contractors, suppliers, and affiliates from and against any claims, demands, liabilities, damages, losses, costs, or expenses arising from:

Violation of these Terms and Conditions.Misuse of the Services.Infringement of third-party rights.Content published by the user.Any activity conducted through the user's account.

Force Majeure

Golito shall not be liable for any failure or delay in the performance of the Services resulting from causes beyond its reasonable control.

Such causes may include natural disasters, infrastructure failures, interruptions of third-party services, labor disputes, governmental actions, cyberattacks, connectivity failures, pandemics, or any event constituting force majeure under applicable law.

Personal Data Protection

The processing of personal data by Golito is governed by the applicable Privacy Policy.

By using the Services, users acknowledge that they have read and accepted the Privacy Policy.

Dispute Resolution and Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Colombia.

The parties shall endeavor to resolve in good faith any dispute arising out of or related to the Services through direct negotiation.

If an amicable resolution cannot be reached, any dispute shall be submitted to the competent jurisdiction of the Republic of Colombia.

Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable by a competent authority, such provision shall be interpreted to the extent necessary to reflect the original intent of the parties.

All remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

Assignment

Users may not assign or transfer their rights or obligations under these Terms without Golito's prior written consent.

Golito may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.

Modifications

Golito reserves the right to modify these Terms and Conditions at any time in order to adapt them to legal, regulatory, technological, operational, or business changes.

Any modifications shall become effective once published through the Services or otherwise communicated by reasonable means.

Continued use of the Services following the effective date of such modifications constitutes acceptance of the revised Terms.

Acceptance of the Terms

By accessing or using the Services, you acknowledge that you have read, understood, and accepted these Terms and Conditions in their entirety.

If you do not agree with any provision of these Terms, you must discontinue use of the Services immediately.

Effective Date

Governing Language

This English version is provided solely as a courtesy translation.

For all legal purposes, including interpretation, enforcement, regulatory proceedings, contractual disputes, judicial actions, arbitration, or any controversy arising from or related to these Terms and Conditions, the Spanish version shall prevail and be the sole legally binding version.

Any discrepancy, inconsistency, or conflict between the English and Spanish versions shall be resolved in favor of the Spanish version.
